Terms of Service

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and that all information you provide is accurate and complete. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

• You must provide a valid email address and a secure password.
• You are responsible for maintaining the confidentiality of your login credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@prozari.com if you suspect unauthorised access to your account.
• You may not share your account with others or create accounts for the purpose of abuse.

You agree to use the Service only for lawful purposes. You must not:

• Violate any applicable law or regulation.
• Upload or transmit malware, viruses, or any malicious code.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Scrape, crawl, or extract data from the Service without our written consent.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to send spam, phishing messages, or other unsolicited communications.
• Harass, abuse, or harm other users.
• Impersonate any person or entity.
• Interfere with the integrity or performance of the Service.

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these rules.

"Your Content" means all data, text, files, and information you submit to the Service (boards, cards, comments, attachments, etc.).

• You retain full ownership of Your Content.
• You grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely to provide the Service to you.
• You are solely responsible for the accuracy, legality, and appropriateness of Your Content.
• We do not use Your Content to train machine-learning or AI models.
• You represent that you have all rights necessary to submit Your Content and that doing so does not infringe any third-party rights.

5.1 Plans

Prozari offers Free, Pro, and Business subscription plans. Features available under each plan are described on our Pricing page. We reserve the right to change plan features with reasonable notice.

5.2 Billing

• Paid plans are billed monthly or annually in Nigerian Naira (₦).
• Payments are processed by Flutterwave. By providing payment details, you agree to Flutterwave's terms.
• Subscriptions automatically renew unless cancelled before the renewal date.
• All fees are non-refundable except as required by law or stated otherwise.

5.3 Free trial

Where a free trial is offered, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges.

5.4 Downgrades

If you downgrade your plan, your access to paid features will continue until the end of the current billing period. Data exceeding the limits of the lower plan remains accessible but you may not be able to create additional items.

The Service, including all software, designs, trademarks, logos, and content created by us, is owned by Prozari and protected by applicable intellectual property laws.

• We grant you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.
• You may not copy, modify, distribute, or create derivative works of the Service without our written consent.
• "Prozari" and associated logos are trademarks of Prozari. You may not use them without prior written permission.

The Service may integrate with third-party services (Google, Slack, GitHub, etc.). Your use of those integrations is subject to the third party's own terms of service and privacy policy. We are not responsible for the availability, accuracy, or conduct of third-party services.

• We aim for high availability but do not guarantee uninterrupted access to the Service.
• We may perform scheduled or emergency maintenance at any time.
• We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where practicable.
• We are not liable for any loss or inconvenience resulting from downtime or changes to the Service.

Our collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described therein.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROZARI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Prozari and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

13.1 By you

You may delete your account at any time from your account settings. Upon deletion, your data will be removed in accordance with our Privacy Policy.

13.2 By us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.

13.3 Effect of termination

Upon termination, your right to use the Service ceases. Sections 4, 6, 10, 11, 12, and 14 survive termination.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act (as amended).

We may update these Terms from time to time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. The current version is always available at prozari.com/terms.
